Terms of Service

1. Who you are contracting with

These Terms of Service ("Terms") are a binding agreement between you and AI Consulting Ventures, trading as MCA Broker Stack ("we", "us", "our"), the operator of mcabrokerstack.com and the MCA Broker Stack platform (the "Service").

2. Acceptance

By accessing or using the Service you agree to these Terms. If you are accepting on behalf of an organization, you represent you have authority to bind it. If you do not agree, do not use the Service.

3. The Service

MCA Broker Stack is a software platform for merchant cash advance brokers, ISOs and funding companies that provides branded application portals, AI-assisted underwriting tooling, and pipeline management.

4. Acceptable use

You will not, and will not permit anyone to:

• use the Service unlawfully, fraudulently, or to send spam;
• infringe intellectual property or privacy rights of any person;
• upload malware or attempt to probe, scan, or breach security;
• scrape, reverse engineer, or circumvent technical limits of the Service;
• resell or redistribute the Service without our written permission.

5. Accounts

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate information and keep it up to date.

6. Intellectual property

We retain all right, title, and interest in and to the Service, including all software, documentation, and branding. Subject to these Terms we grant you a limited, non-exclusive, non-transferable right to use the Service within your subscribed plan.

7. Payment, subscriptions, and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, subscription renewals, cancellations, and refund mechanics are governed by Paddle's Buyer Terms. See also our Refund Policy.

8. Service level and warranties

We work hard to keep the Service available but do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law.

10. Suspension and termination

We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. Upon termination your right to use the Service ends; we will provide a reasonable export window for your data where feasible before deletion.

11. SMS / messaging consent

By submitting your information you consent to receive calls, SMS/MMS, and emails regarding your inquiry, account, or services. Message frequency varies; message and data rates may apply. Reply STOP to opt out, HELP for help. Consent is not a condition of purchase.

12. Governing law

These Terms are governed by the laws of the United States and the state where AI Consulting Ventures is established, without regard to conflict of laws principles.
